These Terms & Conditions (“Terms”) govern the use of the ERP services provided by Digital Horizon (“we,” “our,” or “us”). By accessing or using our ERP platform, you agree to these Terms.

1. Acceptance of Terms

By using our ERP system, you agree to comply with and be bound by these Terms and our Privacy Policy, which is incorporated by reference.

2. Use of Services

2.1 Eligibility: You must be at least 18 years old to use our services. By using our services, you confirm that you are legally capable of entering into binding contracts.

2.2 License: We grant you a non-transferable, non-exclusive, revocable license to access and use our ERP platform, solely for your internal business purposes.

2.3 Prohibited Uses: You agree not to:

  • Use the service for illegal, harmful, or unauthorized activities.
  • Attempt to reverse-engineer, modify, or redistribute our software.

5.1 Ownership: You retain ownership of all data you upload to our ERP system. We do not claim ownership of your data.

5.2 Data Usage: We may use your data to provide the services, improve the system, or for analytical purposes. We will not share or sell your data without your consent, except as stated in our Privacy Policy.

6. Service Availability and Limitation

6.1 Availability: We strive to provide uninterrupted service, but we cannot guarantee that our services will be available at all times due to potential maintenance or unforeseen issues.

6.2 Limitation of Liability: Our liability for any claims arising from the use of our services is limited to the amount you have paid for the service in the past [insert time period].

7. Termination

You agree to indemnify and hold us harmless from any claims, losses, or damages arising from your use of our services, your breach of these Terms, or your violation of any laws.

11.  Security Breaches and System Risks

While Digital Horizon is committed to securing your data and providing a safe and reliable ERP platform, you acknowledge that no system is fully protected from external or internal threats. In the event of a data breach, hacking, or any unauthorized access to the system, we will make reasonable efforts to notify you and mitigate the effects of the breach.

You agree and understand that various factors can contribute to such incidents, including but not limited to:

  • Cyberattacks: The platform may be targeted by hackers or malicious actors who exploit vulnerabilities in the system.
  • System Vulnerabilities: Security flaws within our platform, or third-party integrations we use, may be discovered and exploited.
  • User Negligence: Breaches can occur when users fail to follow recommended security practices, such as using weak passwords or sharing login credentials.
  • Third-Party Service Failures: Security incidents may arise from issues or breaches with third-party services or platforms integrated with our ERP system.
  • Employee Actions: Security breaches can also arise from the actions of individuals within your organization, including employees, contractors, or partners. For example, internal actors may misuse access privileges, intentionally or unintentionally compromise sensitive data, or fail to follow company security policies, leading to unauthorized access or data loss.
  • Physical Security Risks: Breaches may also result from physical security lapses, such as unauthorized access to servers, devices, or data centers.

While we take all reasonable steps to protect your data, you acknowledge that Digital Horizon cannot guarantee that your data will be entirely secure at all times. It is your responsibility to follow security best practices, including using strong passwords, implementing internal access controls, and keeping your login credentials confidential. Additionally, you should ensure that employees and contractors who have access to the platform follow appropriate security practices and are aware of their responsibilities to safeguard the data.

You agree that Digital Horizon will not be liable for any damages, losses, or data breaches arising from the factors listed above, as they are beyond our control. In the case of a security breach or hacking incident, we will assist you as needed to help mitigate damage and take corrective action, but we are not liable for the consequences of such breaches.

12. Data Deletion and Company Termination

You acknowledge that in the event Digital Horizon ceases to operate, shuts down, or is unable to continue providing services for any reason, any data stored in our ERP platform may be deleted or made inaccessible. You agree that once your data is deleted or is no longer accessible, Digital Horizon will not be responsible for, nor liable for, any loss of data.

It is your sole responsibility to regularly back up and preserve your data. You also agree that, should our company cease operations, we will not be required to restore or maintain access to any of your data, including data that has been deleted or is no longer available.

13. Governing Law

These Terms are governed by the laws of the Philippines, without regard to its conflict of law principles. Any disputes will be resolved in the supreme court.

14. Updates to Terms

We may modify these Terms at any time by posting the updated version on our website. Your continued use of the services after the update constitutes your acceptance of the revised Terms.
